Agreement to Terms

By accessing or using Nourii (the "Service"), operated by Punde Commerce, LLC ("we," "our," or "us"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our services.

Description of Service

Nourii is an AI-powered nutrition companion for plant-based eating. Our services include:

  • AI-powered meal logging and nutrition tracking
  • Photo-based food analysis and nutrition estimation
  • Personalized AI nutrition coaching
  • Restaurant discovery across 58+ cities globally
  • Meal planning and recipe recommendations
  • Progress tracking and gamification features
  • Environmental impact tracking
  • Business platform for restaurant owners

Account Registration

When you create an account:

  • You must provide accurate and complete information
  • You are responsible for maintaining your account security
  • You must be at least 13 years old to use the Service (or 16 in EU jurisdictions where GDPR Article 8 applies)
  • You are responsible for all activities under your account
  • You agree to notify us immediately of any unauthorized access

Subscriptions & Payments

Free and Premium Plans

Nourii offers both free and premium subscription plans. Premium features include unlimited AI coaching, advanced meal planning, and detailed analytics.

Billing

  • Subscriptions are billed in advance on a monthly or annual basis
  • Payment is processed through Stripe (web) or Apple App Store/Google Play Store (mobile apps)
  • Subscriptions automatically renew unless cancelled before the renewal date
  • Prices are listed in your local currency where available

In-App Purchases (iOS/Android)

  • Subscriptions purchased through the Apple App Store or Google Play Store are governed by the respective store's terms and conditions
  • Refunds for in-app purchases must be requested directly through Apple or Google, not through Nourii
  • Subscription management (cancellation, plan changes) for native purchases must be done through your device's subscription settings

Cancellation & Refunds

  • You may cancel your subscription at any time through Settings or your app store account
  • Cancellation takes effect at the end of the current billing period
  • Refunds for web subscriptions are handled according to Stripe's policies
  • We do not provide prorated refunds for unused portions of a subscription period

Business Platform

Nourii offers a business platform for restaurant owners and operators. By creating a business account, you agree to the following additional terms:

Business Account & Verification

  • You must have the authority to represent the business you are registering
  • Restaurant claiming requires verification (via phone/SMS or supporting documentation)
  • You are responsible for the accuracy of business information you provide
  • We reserve the right to reject or revoke claims that cannot be verified

Business Subscription Tiers

  • Free: Basic restaurant listing management
  • Basic ($9/month): Enhanced features including additional photo uploads and analytics
  • Premium ($19/month): Full access including advanced analytics, priority support, and maximum photo uploads

Team Members

  • Business account owners may invite team members based on their subscription tier
  • The account owner is responsible for the actions of all team members
  • Team member access can be revoked at any time by the account owner

Restaurant Content & Photos

  • Photos uploaded to restaurant listings must be accurate representations of the restaurant and its offerings
  • Photo upload limits are determined by your business subscription tier
  • You grant us a license to display uploaded photos on the restaurant listing and within the Nourii app
  • Menu data and business information must be kept accurate and up-to-date

Reviews & Responses

  • Business owners may respond to user reviews of their restaurant
  • Business owners cannot modify, hide, or delete user reviews
  • We reserve the right to moderate both reviews and business responses

Data & Listing Ownership

Restaurant listings on Nourii are maintained by us and enhanced by business owners. While business owners control their uploaded content and business information, the underlying restaurant listing and aggregated data (reviews, ratings, analytics) remain the property of Nourii. Upon termination of a business account, the restaurant listing will revert to its non-claimed state.

AI-Generated Content

Nourii uses artificial intelligence to provide nutrition estimates, coaching, and recommendations. You acknowledge that:

  • AI-generated nutrition estimates are approximations and may not be 100% accurate
  • AI coaching is for informational purposes only and is not medical or professional dietary advice
  • You should consult healthcare professionals for medical conditions or specific dietary needs
  • Restaurant and menu information is provided as-is and may not reflect current offerings
  • We continuously improve our AI but cannot guarantee accuracy in all cases

Rate Limits

To ensure fair access and service quality, AI features are subject to daily usage limits:

  • AI coach messages: 30 per day
  • Photo analyses: 15 per day
  • Total AI calls (all features): 50 per day

These limits apply to premium subscribers and may be adjusted at our discretion. We will provide notice of significant changes to rate limits.

User Content & Reviews

You may submit content to Nourii, including meal photos, reviews, and lists. By submitting content:

  • You retain ownership of your content
  • You grant us a license to use, display, and process your content to provide the Service
  • You represent that you have the right to submit the content
  • You agree not to submit content that is illegal, harmful, or violates others' rights
  • We may remove content that violates these terms at our discretion

Restaurant Reviews

  • Reviews are user-generated content and reflect the opinions of individual users
  • Business owners may respond to reviews but cannot alter, hide, or remove review content
  • We reserve the right to moderate reviews that violate our guidelines, contain hate speech, spam, or are clearly fraudulent
  • You agree that your reviews may be displayed publicly on restaurant listing pages

User Conduct

You agree not to:

  • Use our services for any unlawful purpose
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt our services
  • Submit false, misleading, or harmful information
  • Use automated systems to access our services without permission
  • Abuse AI features or attempt to circumvent rate limits
  • Impersonate others or misrepresent your identity
  • Harass, abuse, or harm other users or our staff

Environmental Impact Disclaimer

Nourii provides estimated environmental impact calculations (including CO₂ savings, water savings, and land use reduction) based on published research, including data from Poore & Nemecek (2018, Science). These values are estimates derived from population-level averages and are not guarantees of your actual environmental impact. Individual results may vary based on geographic location, specific food sources, supply chain factors, and other variables. The impact calculator is intended for educational and motivational purposes only.

Account Termination

  • You may delete your account at any time through Settings
  • We may suspend or terminate accounts that violate these terms
  • Upon termination, your data will be deleted according to our Privacy Policy
  • Active subscriptions should be cancelled before account deletion to avoid continued billing

Intellectual Property

All content on Nourii, including text, graphics, logos, icons, and software, is the property of Punde Commerce, LLC and is protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission. The Nourii™ name and logo are trademarks of Punde Commerce, LLC.

Third-Party Services

Nourii integrates with third-party services including payment processors, map providers, and AI services. Your use of these services is subject to their respective terms. We are not responsible for the content, accuracy, or practices of third-party services.

Health Disclaimer

Nourii provides nutrition information and tracking tools for general wellness purposes. Our services are not intended to diagnose, treat, cure, or prevent any disease. The information provided is not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or qualified health provider with any questions about a medical condition or dietary changes.

Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that our services will be uninterrupted, secure, or error-free. Nutritional information, restaurant data, and AI recommendations are for informational purposes only and may contain inaccuracies.

Limitation of Liability

To the fullest extent permitted by law, Punde Commerce, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to health decisions made based on our information. Our total liability shall not exceed the amount you have paid us in the twelve months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Punde Commerce, LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these terms, or your violation of any rights of another party.

Arbitration & Class Action Waiver

Please read this section carefully. It affects your legal rights.

Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration shall take place in Delaware or, at your election, via telephone or video conference. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Punde Commerce, LLC.

Exceptions

  • Either party may bring an individual action in small claims court for disputes within the court's jurisdiction
  • Either party may seek injunctive or equitable relief in a court of competent jurisdiction for intellectual property or unauthorized access claims

Opt-Out

You may opt out of this arbitration agreement by sending written notice to hello@nourii.app within 30 days of creating your account. Your notice must include your name, account email, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, disputes will be resolved in the state or federal courts in Delaware.

Governing Law & Disputes

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Subject to the arbitration clause above, any disputes that are not subject to arbitration shall be resolved in the state or federal courts located in Delaware.

Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of material changes by posting a notice in the app or sending an email. Your continued use of our services after changes constitutes acceptance of the new terms. If you do not agree to the updated terms, you should stop using the Service.

General Provisions

Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Punde Commerce, LLC regarding your use of the Service.

Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these terms due to events beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure failures, pandemics, or acts of terrorism.

Waiver

Our failure to enforce any right or provision of these terms shall not constitute a waiver of such right or provision. Any waiver of any provision shall be effective only if in writing and signed by Punde Commerce, LLC.

Assignment

We may assign or transfer these terms, in whole or in part, without restriction (including in connection with a merger, acquisition, or sale of assets). You may not assign or transfer your rights or obligations under these terms without our prior written consent.
